These Terms of Use (the “Terms”) govern your access to and use of the PostDaba website, web application and API (together, the “Services”). The Services are provided by BEQODIA LTD, a company registered in England and Wales (“we”, “us”, “our”).

1. Acceptance of the Terms
By accessing or using the Services, creating an account, or clicking a button to accept these Terms, you agree to be bound by them. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Services.
2. The Services
PostDaba enables you to create, schedule and publish social content to various third‑party platforms (e.g., TikTok, Instagram, Facebook, YouTube, LinkedIn). We are not affiliated with, endorsed by, or responsible for those platforms. You must comply with each platform’s applicable terms and policies at all times.
We may modify, suspend, or discontinue features at any time to maintain compliance with platform policies, improve security or performance, or for other legitimate business reasons. Where feasible, we will provide reasonable notice of material changes.
3. Accounts and Eligibility
- You must be at least 18 years old to use the Services.
- You are responsible for safeguarding your account credentials and for all activity on your account.
- You will provide accurate, complete information and keep it up‑to‑date.
4. Credits, Pricing and Payments
- Credit model. Unless otherwise agreed in writing, billing is usage‑based. One (1) credit equals one (1) successful publish request to a single platform (“Successful Post”). We only charge credits for Successful Posts. Transient failures are retried automatically; failed posts do not consume credits.
- Definition of success. A Successful Post means the destination platform confirms the publish request or our posting pipeline receives a success confirmation. Subsequent removals by the platform (e.g., policy takedown) do not convert a Successful Post into a failure.
- Pricing and taxes. Prices are shown exclusive of VAT and applicable taxes. You authorise our payment processor to charge your selected payment method for credits and any applicable taxes and fees. Exchange rates for non‑USD currencies may vary.
- Credits. Credits are not legal tender, non‑transferable, and non‑refundable except where required by law. Marketing states that credits “never expire”; this is subject to fair‑use and anti‑abuse controls. We may limit or suspend accounts that stockpile credits for speculative use or engage in abusive behaviour. We will make reasonable efforts to notify you before any action that materially impacts existing credits.
- No fee for seats. Unless stated otherwise, we do not charge per‑seat fees. You are responsible for all usage under your account.
5. Acceptable Use
You agree not to, and not to allow others to:
- Violate any law, third‑party rights, or platform terms;
- Post, generate, or transmit content that is unlawful, infringing, defamatory, discriminatory, harassing, deceptive, or harmful;
- Send spam, platform‑prohibited promotions, or misleading content;
- Attempt to bypass rate limits, security, or platform restrictions, or probe/scan systems without authorisation;
- Reverse engineer or attempt to derive source code except to the extent permitted by law;
- Use the Services to build a competing product or to benchmark for publication without consent;
- Upload malicious code or interfere with the proper working of the Services;
- Use AI features to generate illegal, harmful, or platform‑prohibited content; you must review AI output before publishing.
6. Content and Licences
- Your content. You retain all rights to content you submit. You grant us a worldwide, non‑exclusive, royalty‑free licence to host, store, process, transmit, and display your content solely to provide and improve the Services.
- Feedback. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty‑free licence to use them without restriction.
- Our materials. The Services, software, and brand assets are owned by us or our licensors. No rights are granted except as expressly set out in these Terms.
7. API and Developer Terms
- API keys are personal/organisational secrets. You must keep them secure and rotate if compromised.
- We may apply rate limits and usage caps; do not attempt to circumvent them.
- Do not use the API in a manner that violates platform terms or applicable law.
8. Privacy and Data Protection
Our Privacy Policy explains how we process personal data under UK GDPR and the Data Protection Act 2018. For enterprise customers who require a data processing addendum (DPA), please contact us.
9. Third‑Party Services and Platforms
The Services interoperate with third‑party platforms and service providers (e.g., social platforms, payment processors, analytics, hosting). We are not responsible for the acts or omissions of third parties. Your use of third‑party platforms is governed by their own terms and policies.
10. Suspension and Termination
We may suspend or terminate your access immediately for breach of these Terms, unlawful activity, platform policy violations, suspected fraud or abuse, or to comply with law. You may close your account at any time. Sections that by their nature should survive (including payment obligations, IP, disclaimers, limitations of liability, indemnities, and governing law) will survive termination.
11. Disclaimers
The Services are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non‑infringement. We do not warrant uninterrupted or error‑free operation or that content will achieve a particular reach or outcome on any platform.
12. Limitation of Liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited under law. Subject to the foregoing, we will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, or data, even if advised of the possibility. Our aggregate liability for all claims relating to the Services in any 12‑month period is limited to the greater of (a) the amounts paid by you to us for the Services during that period, and (b) £100.
13. Indemnity
You will indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising from your content, your use of the Services, or your breach of these Terms or platform policies.
14. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., in‑app, by email, or on our website) and the changes will take effect on the date stated in the notice. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
15. Governing Law and Jurisdiction
These Terms and any dispute or claim (including non‑contractual disputes or claims) arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect our rights. If you are a consumer, you may have rights to bring claims in your local courts; nothing in these Terms affects those rights.
16. Miscellaneous
- Assignment: You may not assign these Terms without our consent. We may assign them.
- Severability: If any provision is unenforceable, the remainder remains in effect.
- No waiver: Failure to enforce a provision is not a waiver.
- Entire agreement: These Terms form the entire agreement regarding the Services.
- Force majeure: We are not responsible for delays/failures due to events beyond our control.
